Terms of Service

These Terms of Service (“Terms”) govern your access to and use of services provided by ADB Media LLC (“ADB Media”, “we”, “us”, or “our”) through the CADto3D website (https://cadto3d.com) and any related communications, quotes, contracts, and deliverables.
These Terms apply to customers located in the United States and other non-EU/EEA regions. If you are located in the European Union, the European Economic Area, the United Kingdom, or Switzerland, services are provided by BRIA SARL under separate Conditions Générales governed by French law.
By requesting a quote, accepting a quote, or otherwise engaging our services, you accept and agree to be bound by these Terms.
1. Definitions
“Customer”, “You”, “Your”: the individual or entity engaging our services.
“Services”: the mechanical CAD conversion, 3D modeling, reverse engineering, and related technical services provided by ADB Media.
“Source Materials”: any drawings, technical documents, photographs, sketches, datasheets, CAD files, physical samples, or other inputs you provide to us.
“Deliverables”: the 3D CAD models, 2D drawings, files, and other outputs we provide to you upon completion of a project.
“Quote”: the written estimate of project scope, price, timeline, and conditions that we provide in response to your request.
2. Description of services
ADB Media provides mechanical CAD conversion and modeling services, including:
- Conversion of 2D drawings, PDFs, scans, and sketches into 3D CAD models
- Reverse engineering from photographs, 3D scans, or physical samples
- Sheet metal modeling and flat-pattern development
- Multi-part assembly modeling
- CAD format conversion between platforms (AutoCAD, SolidWorks, Inventor, and others)
- Vendor datasheet conversion to STEP files and other neutral formats
Specific scope, format, and complexity for each project is defined in the Quote you accept.
3. Quote and acceptance
Upon receiving your Source Materials and project description, we will provide a written Quote within approximately two business hours. The Quote will specify:
- Scope of work
- Price and currency (USD)
- Estimated delivery timeline
- Number of revisions included
- Output format(s) and deliverables
- Any conditions specific to the project
The Quote is valid for 30 days from issuance. You accept the Quote by responding in writing (email is sufficient) with explicit acceptance.
Work commences only after Quote acceptance. No fees are owed for the quoting process itself.
4. Pricing and payment
All prices are in United States Dollars (USD), exclusive of any applicable taxes or fees imposed by jurisdictions outside Florida.
Payment terms: payment is due upon delivery of completed Deliverables. For larger projects, we may require a deposit at the time of Quote acceptance.
Accepted payment methods will be specified on the Quote or invoice.
Late payments may be subject to a service charge of 1.5% per month or the maximum rate permitted by Florida law, whichever is lower.
5. Revisions and acceptance of Deliverables
Each Quote includes one round of revisions at no additional charge.
Additional revisions are billed at the hourly rate specified in the Quote.
You are expected to review Deliverables within 14 days of delivery and notify us in writing of any issues or requested revisions. If no notification is received within 14 days, the Deliverables are deemed accepted.
Revisions due to errors caused by ADB Media (such as incorrect interpretation of clearly-dimensioned Source Materials) are performed at no charge.
Revisions due to incomplete, ambiguous, or changed Source Materials, or due to clarifications about scope not raised before work commenced, are billed at the hourly rate.
6. Intellectual property
Your Source Materials
You retain all intellectual property rights in Source Materials you provide to us. By providing Source Materials, you grant us a limited, non-exclusive, royalty-free license to use, reproduce, modify, and process the Source Materials solely for the purpose of delivering the Services.
You represent and warrant that you have the legal right to provide the Source Materials and to authorize the work described in the Quote, and that the Source Materials do not infringe any third-party intellectual property rights.
Your Deliverables
Upon full payment, you receive full ownership of the Deliverables we create from your Source Materials. ADB Media retains no rights in the Deliverables and grants you the perpetual right to use, modify, reproduce, and distribute the Deliverables for any purpose.
Our methods and know-how
We retain all rights in our methods, processes, software tools, and general know-how. Nothing in these Terms transfers any rights in our methods to you.
No use of your data for AI training
We do not use Source Materials, Deliverables, or project communications to train any artificial intelligence or machine learning models. We do not authorize any sub-processor or partner to do so on our behalf.
7. Confidentiality
We treat all Source Materials, project details, and customer communications as confidential. We will not disclose your confidential information to any third party except as needed to deliver the Services (specifically to the engineering services partner identified in our Privacy Policy) or as required by law.
A Non-Disclosure Agreement (NDA) is available on request for projects requiring formal confidentiality terms. NDAs are signed by ADB Media LLC as the contracting party.
Our engineering services partner is bound by confidentiality obligations equivalent to those set forth here.
8. Warranties and disclaimers
We warrant that:
- Deliverables will be created with professional skill and care
- Deliverables will substantially conform to the specifications described in the accepted Quote
- For 30 days after delivery, we will correct at no charge any Deliverables that fail to substantially conform due to our error
EXCEPT AS EXPRESSLY STATED IN THESE TERMS, THE SERVICES AND DELIVERABLES ARE PROVIDED “AS IS” AND “AS AVAILABLE”. WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that Deliverables will be suitable for any specific manufacturing process unless that process is specified in the Quote. You are responsible for verifying that Deliverables meet your manufacturing, regulatory, and quality requirements before relying on them for production.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ADB MEDIA’S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES IS LIMITED TO THE AMOUNT YOU PAID FOR THE SPECIFIC PROJECT GIVING RISE TO THE LIABILITY.
IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
These limitations apply regardless of the legal theory on which the claim is based and apply even if any limited remedy fails of its essential purpose.
10. Indemnification
You agree to indemnify, defend, and hold harmless ADB Media, its officers, employees, agents, and the engineering services partner from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your provision of Source Materials that infringe third-party intellectual property rights
- Your violation of these Terms
- Your use of Deliverables in a manner that violates applicable law
11. Termination
Either party may terminate an engagement at any time before work commences by written notice.
If you terminate after work has commenced, you are liable for work completed up to the point of termination, billed at the hourly rate specified in the Quote.
If we terminate due to your material breach of these Terms, you remain liable for all completed work plus any reasonable costs we have incurred.
Sections 6 (Intellectual property), 7 (Confidentiality), 8 (Warranties), 9 (Limitation of liability), 10 (Indemnification), and 12 (Governing law and disputes) survive termination.
12. Governing law and disputes
These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict-of-laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration will be held in Broward County, Florida, in the English language. Judgment on any award may be entered in any court of competent jurisdiction.
Either party may seek injunctive relief in court for breach of confidentiality or intellectual property obligations.
You and ADB Media each waive any right to a jury trial and to participate in any class action or collective action.
13. General provisions
Entire agreement. These Terms, together with the accepted Quote and any applicable NDA, constitute the entire agreement between you and ADB Media regarding the Services and supersede all prior or contemporaneous communications, proposals, and agreements.
Modifications. No modification of these Terms is effective unless in writing and signed by both parties. ADB Media may update these Terms by posting a revised version on the website; the revised version applies to new Quotes accepted after the effective date, not to existing engagements.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets.
Severability. If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full effect.
Waiver. Failure to enforce any provision of these Terms is not a waiver of that provision or any other.
Force majeure. Neither party is liable for delays or failures in performance caused by events beyond reasonable control, including natural disasters, war, terrorism, civil unrest, government actions, or labor disputes.
Notices. Notices to ADB Media should be sent to hello@cadto3d.com and to the mailing address listed below. Notices to you will be sent to the email address provided in your Quote request.
